São Paulo, October 30, 2024 – Brazil's largest producer and exporter of packaging paper and sustainable solutions in paper packaging, Klabin announces the agreement with a Timber Investment Management Organization (TIMO) for the monetization of forestry assets. The TIMO will make a contribution of R$1.8 billion in a joint investment in four Special Purpose Entities (SPEs), which will be controlled by the Company.

The SPEs total 60,000 hectares of planted forests and 43,000 hectares of land, located in the states of Paraná, Santa Catarina and São Paulo, substantially formed by assets acquired by Klabin in the Caetê Project. The agreement will allow Klabin to maintain the operational synergies of Caetê, as well as a wood supply contract.
The Plateau Project, as the operation is named, underscores Klabin's commitment to disciplined capital allocation, reducing leverage, and the ongoing creation of value for shareholders.

The TIMO's contribution will have two phases: the first upon the completion of the Plateau Project, and the second expected by the second quarter of 2025. The transaction is subject to customary conditions precedent, including approval by the relevant regulatory authorities.
